1. Acceptance of Terms

By accessing and using Di11a ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

Di11a is an AI-powered business co-pilot that provides business idea analysis and validation, market research and competitive analysis, customer persona generation, financial projections and insights, and strategic business recommendations.

3. Subscription Plans & Pricing

ProHustler Subscription: Monthly: $19 USD per month, Annual: $199 USD per year (save $29). Payment Processing: All payments are processed securely through Paddle. Billing: Subscriptions are billed in advance and automatically renewed unless cancelled.

4. User Accounts & Responsibilities

Account Security: You are responsible for maintaining the confidentiality of your account, you must provide accurate and complete information, and you must notify us immediately of any unauthorized use. Prohibited Uses: Using the service for illegal or unauthorized purposes, attempting to gain unauthorized access to our systems, sharing account credentials with third parties, reverse engineering or attempting to extract source code, and using the service to generate harmful or misleading content.

5. Intellectual Property & Data Ownership

Service Content: Di11a and its original content, features, and functionality (including the AI models, algorithms, and platform technology) are owned by Roman Gorbunov and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User Data Ownership: You retain full ownership of all business data, projects, and content you create or input into Di11a ("User Data"). This includes your business ideas, project information, and any proprietary business information you provide.

License to Di11a: By using the Service, you grant Di11a a limited, non-exclusive license to access, process, and store your User Data solely for the purpose of providing the Service to you. This includes using your data to generate AI-powered analysis, reports, and insights.

AI-Generated Content: While you own your input data, the AI-generated reports, analyses, customer personas, and insights created by our system are provided "as-is" for your use. We retain ownership of the underlying AI technology and methodologies.

Data Security: We store your data securely following industry best practices including encryption in transit and at rest, role-based access controls, regular backups and disaster recovery procedures, and compliance with data protection regulations (GDPR, CCPA).

6. AI-Generated Content & Financial Projections Disclaimer

Not Licensed Professional Services: Di11a is NOT and does not provide:

• Financial advisory or investment advisory services
• Accounting, bookkeeping, or tax preparation services
• Legal advice or attorney services
• Business consulting or management services
• Securities brokerage or investment management

Limitations of AI-Generated Content: The financial projections, market analyses, and business insights generated by our AI are:

• Based on algorithms and may contain errors or inaccuracies
• Not personalized to your specific circumstances
• Not guaranteed to be complete, current, or reliable
• Should not be used as the sole basis for business decisions
• Not a substitute for professional due diligence

Your Responsibility: Before making ANY financial, business, investment, legal, or tax decisions:

• Consult with licensed professionals (CPAs, attorneys, financial advisers)
• Conduct your own independent research and analysis
• Verify all information and projections independently
• Consider your unique circumstances, risk tolerance, and goals

No Guarantees: Di11a makes no representations or warranties about the accuracy, reliability, or completeness of any AI-generated content. Past performance data or hypothetical projections do not guarantee future results.

Acknowledgment: By using the Service, you acknowledge and agree that:

• You understand Di11a is an educational tool, not professional advice
• You assume full responsibility for all decisions based on Service outputs
• You will consult qualified professionals before making significant decisions
• Di11a is not liable for any losses resulting from your use of the Service

7. Service Availability & Modifications

We strive to maintain high service availability but do not guarantee 100% uptime. We may modify, suspend, or discontinue the service at any time with reasonable notice. We may update features, pricing, or terms with 30 days advance notice. Maintenance windows may temporarily interrupt service.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• No Indirect Damages: Di11a shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or reputation.
• Cap on Liability: Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you actually paid to Di11a in the 12 months immediately preceding the claim. For free tier users, liability is limited to $100 USD.
• AI Content Disclaimer: We are not responsible for any losses, damages, or adverse consequences resulting from business decisions made based on AI-generated content, projections, or analysis.
• Third-Party Services: We are not liable for any issues, errors, or damages caused by third-party services (including but not limited to Google OAuth, Supabase, Paddle, or Google Gemini API).
• Data Accuracy: We do not guarantee the accuracy, completeness, or reliability of any market data, financial projections, or business insights provided by the Service.
• Service Availability: We are not liable for service interruptions, downtime, data loss, or technical failures beyond our reasonable control.

Acknowledgment of Risk: You acknowledge that business planning and financial analysis inherently involve risk and uncertainty. You use the Service at your own risk and are solely responsible for evaluating the suitability of the Service for your purposes.

9. Termination

By You: You may cancel your subscription at any time through your account settings or by contacting us at contact@di11a.com. By Us: We may terminate your account for violation of these terms, non-payment, or other legitimate business reasons with reasonable notice. Effect of Termination: Access to the service will be discontinued, data will be retained according to our Privacy Policy, and no refunds for partial billing periods (except as outlined in our Refund Policy).

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where Roman Gorbunov, Individual Entrepreneur is registered, without regard to conflict of law provisions.

11. Changes to Terms

We reserve the right to update these terms at any time. Material changes will be communicated through email notification to registered users, notice posted on our website, and in-app notification (where applicable). Continued use of the service after changes constitutes acceptance of the new terms.
